Please read these terms carefully before using Trinity Workforce Solutions' services.

1. Agreement to Terms

By accessing or using Trinity Workforce Solutions' services, you agree to be bound by these Terms of Service.

If you do not agree to these terms, you may not access or use our services.

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or an entity) and Trinity Workforce Solutions Limited ("Trinity," "we," "us," or "our") regarding your access to and use of:

  • Our systems development and software solutions
  • Our AI-powered tools and features
  • Any related services, applications, or content (collectively, the "Services")

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

2. Description of Services

Service Availability: We strive to provide uninterrupted access to our Services, but we do not guarantee that the Services will be available at all times. We may modify, suspend, or discontinue any aspect of the Services at any time without prior notice.

3. User Accounts

3.1 Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account password. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our sole discretion.

4. Acceptable Use Policy

You agree not to:

System Abuse

  • • Attempt unauthorized access

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

5. Payment Terms

5.1 Fees and Payment

Certain Services require payment of fees. By purchasing a paid Service, you agree to pay all applicable fees as described at the time of purchase. All fees are:

  • Non-refundable except as expressly stated in our Refund Policy
  • Exclusive of taxes - you are responsible for all applicable taxes
  • Payable in advance unless otherwise agreed in writing
  • Subject to change with 30 days' notice for subscription services

5.2 Subscriptions

For subscription-based services:

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You authorize us to charge your payment method for renewal fees
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period

5.3 Late Payment

Late payments may result in:

  • Suspension of Services until payment is received
  • Late fees of 2% per month on overdue amounts
  • Termination of Services for payments over 30 days late
  • Collection costs and legal fees

5.4 Refund Policy

Refunds are handled on a case-by-case basis. For one-time purchases, you may request a refund within 14 days if the Service has not been substantially used. For custom development projects, refund terms are specified in the project agreement. Subscription fees are non-refundable except where required by law.

6. Intellectual Property Rights

6.1 Our Property

All content, features, and functionality of the Services, including but not limited to:

  • Text, graphics, logos, icons, images, and software code
  • The compilation, organization, and structure of content
  • Trademarks, service marks, and trade names
  • Proprietary algorithms, processes, and methodologies

...are owned by Trinity or our licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:

  • Modify, copy, or create derivative works
  • Resell, sublicense, or redistribute the Services
  • Reverse engineer or decompile any software
  • Remove or alter any proprietary notices

6.3 User Content

You retain ownership of any content you submit through the Services ("User Content"). By submitting User Content, you grant Trinity a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely to provide and improve the Services.

6.4 Custom Development

For custom software development projects, intellectual property ownership is governed by the specific project agreement. Generally:

  • One-time purchase: You own the final deliverable upon full payment
  • Subscription model: Trinity retains ownership; you receive a license
  • Custom development: Terms specified in project agreement

7. Warranties and Disclaimers

Important Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TRINITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

We make no warranties or representations about:

  • The accuracy, reliability, or completeness of any content
  • The suitability of the Services for your specific needs
  • The results you may obtain from using the Services
  • Any errors or defects being corrected
  • The security or privacy of data transmission

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

TRINITY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising out of or related to these Terms or the Services shall not exceed:

  • For paid Services: the amount you paid to Trinity in the 12 months preceding the claim
  • For free Services: USD $100 or the equivalent in your local currency

Note: Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Trinity, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any User Content you submit
  • Your breach of any representations or warranties

10. Termination

10.1 Termination by You

You may terminate your account at any time by:

  • Accessing your account settings and selecting "Delete Account"
  • Contacting our support team at info@trinityhrwork.com

Upon termination, your right to use the Services will immediately cease. You remain responsible for any fees incurred before termination.

10.2 Termination by Trinity

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms or our Acceptable Use Policy
  • We suspect fraudulent, abusive, or illegal activity
  • Payment is overdue by more than 30 days
  • Required by law or government authority
  • We discontinue the Services (with reasonable notice)

10.3 Effects of Termination

Upon termination:

  • All licenses granted to you will immediately terminate
  • You must cease all use of the Services
  • We may delete your data after a 30-day grace period
  • Provisions that by their nature should survive termination will survive (e.g., payment obligations, intellectual property, limitations of liability)

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

11.2 Dispute Resolution

In the event of any dispute arising from these Terms:

  1. Informal Resolution: We encourage you to first contact us at legal@trinityworkforce.com to attempt to resolve the dispute informally
  2. Mediation: If informal resolution fails, both parties agree to attempt mediation through a mutually agreed mediator
  3. Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration under the Arbitration Act of Kenya
  4. Court Jurisdiction: Any disputes not resolved through arbitration shall be exclusively resolved in the courts of Nairobi, Kenya

11.3 Class Action Waiver

To the extent permitted by law, all disputes must be brought on an individual basis and not as part of a class action, consolidated action, or representative action.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Trinity regarding the Services.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

12.6 Third-Party Services

The Services may contain links to third-party websites or services. We are not responsible for the content, terms, or privacy practices of such third parties. Your use of third-party services is at your own risk.
